Board resolution for a company (bank account and authorised signatory)

A resolution of the directors of a company that opens a bank account and names the people who may operate it and sign for the company.

This is a sample, not an official form. Offices differ. Check this text with the issuing office before you sign, and use the office's own form if it gives you one. Govt License does not give legal advice.

What it is for

Use it when a private limited company or OPC opens a current account, or changes the people who may sign. Banks ask for a certified copy of the board resolution.

Who signs

The Chairman of the meeting signs the certified copy. Many banks also want the company seal and a director or company secretary to certify it.
